Hi,
	I don't know about your first problem, but I am using kernel 2.1.132,
matroxfb and the ALSA drivers with no problems.  Are you running a stock
2.1.132? I have applied Alan Cox's patch-2.1.132ac2 patch set to my stock
2.1.132.  I don't know if that may have fixed something.  Also, I use
an Ensoniq AudioPCI card, so your problem may be card specific.  Are you 
seeing that enable_irq() unbalanced both with and without the matroxfb, or
only when the matroxfb is loaded?
